Terms and Conditions

1. Agreement

These Terms & Conditions ("Terms") govern your use of Frostmailer ("Frostmailer", "we", "us") and the services provided through frostmailer.com. By creating an account, placing an order, or using the services, you agree to these Terms on behalf of yourself and any business you represent. If you do not agree, do not use the services.

2. The services

Frostmailer provides cold email infrastructure: Microsoft/Outlook (Azure) mailboxes and Google Workspace mailboxes, with sending domains and their authentication (SPF, DKIM, DMARC) configured for you, and, where included, loaded into your chosen sending platform. The exact products and quantities are those shown on your order at checkout.

We provide sending infrastructure. We do not guarantee any specific deliverability outcome, inbox placement, open rate, reply rate, number of meetings, or revenue. Results depend on factors within your control, including your copy, targeting, list quality, sending volume, warmup, and adherence to platform and legal rules.

3. Fees, billing and renewal

Recurring products are billed as a subscription in advance, in the currency shown at checkout (typically EUR), and renew automatically each billing period until cancelled. One-time charges, including domain registration fees, are billed on the first invoice. You authorise us and our payment processor (Stripe) to charge your payment method for all fees, including renewals, until you cancel. Prices are exclusive of any applicable taxes unless stated otherwise, and you are responsible for any taxes due.

4. Cancellation

You may request cancellation at any time from your dashboard. When you request one, our team either cancels it immediately or schedules it to take effect shortly before your next billing date, so it clears before the next renewal charge. You keep access to the affected mailboxes and domains until the cancellation takes effect. Cancelling stops future renewals; it does not refund the current or previous billing periods.

5. Refunds

Fees are non-refundable except where required by law, and specifically: no refund is issued once inboxes have been delivered and setup is complete; domain registrations are non-refundable once registered (domains are purchased on your behalf); and disputes raised after the services have been used are not eligible for a refund. If you have not submitted the onboarding details required to start your build within 24 hours of purchase, you may request a refund for that order. If you believe you have been charged in error, contact us and we will investigate in good faith.

For clarity, refunds are not provided for: change of mind; incompatibility with third-party tools; unused time in a billing cycle; a belief that the service did not deliver enough value; cancelling part-way through a subscription; or a misunderstanding of what was ordered.

6. Sending limits and provider suspensions

To protect deliverability and avoid suspension, keep sending within the limits we advise for your product. As a guide, we recommend a maximum of around 15 sends per day per Google inbox and around 2 sends per day per Outlook/Azure inbox. We may suspend inboxes that materially exceed advised limits, without refund.

Inbox or domain suspensions initiated by Google, Microsoft, or another provider are typically caused by content, sending volume, or spam complaints, all of which are your responsibility. We are not liable for such suspensions and they are not eligible for a refund.

7. Account and domain ownership

Where we register domains as part of your order, those domains are provided for your use only while your subscription is active, remain the property of Frostmailer, and are revoked on cancellation or termination. Domains you bring yourself remain yours. Inboxes are granted for use for the duration of your active subscription and are not transferable.

8. Your responsibilities and acceptable use

The services are intended strictly for business-to-business (B2B) communication; use for business-to-consumer (B2C) sending is not permitted. You are solely responsible for how you use the mailboxes and domains, including all content you send and obtaining any consent required. You agree to comply with all applicable laws and regulations, including anti-spam laws (such as GDPR, CAN-SPAM, and equivalents), and with the acceptable-use and program policies of Microsoft, Google, and your sending platform. We may suspend or terminate services, without refund, for breach of this section.

9. Warranties and service availability

The services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. You use the services at your own risk. We strive to maintain high availability but do not guarantee uninterrupted, timely, or error-free access.

10. Your data

You are solely responsible for backing up your own data, including email content, contacts, and campaign data. We do not maintain backups of your data and are not liable for any loss of data.

11. Payment disputes and chargebacks

If you have a billing concern, contact us first at support@frostmailer.com and we will work to resolve it. Filing a chargeback or payment dispute for services that were delivered, or for charges covered by these Terms, without first contacting us, is treated as both a breach of these Terms and fraudulent misuse of the payment system. We will dispute such claims, may suspend or terminate the account pending resolution, and may recover the disputed amount and any associated costs.

12. SMS communications

If you provide your phone number when booking a call or on the signup page, we may send you appointment reminders and follow-up messages. Phone numbers collected for SMS purposes are not shared with or sold to third parties or affiliates for marketing purposes. You can opt out at any time by replying STOP.

13. Email communications

When you create an account we send you transactional email about your orders, your account, and your billing. These are part of the service and are sent for as long as you have an account. We may also send occasional marketing email about our products, pricing, and offers. You can opt out of marketing email at any time using the unsubscribe link in any such message, or by emailing support@frostmailer.com. Opting out of marketing does not stop transactional email, and your email address is not shared with or sold to third parties for their own marketing.

14. Limitation of liability

To the maximum extent permitted by law, Frostmailer is not liable for any indirect or consequential loss, or for lost profits, revenue, or data, including losses related to inbox delivery, account suspensions, or domain restrictions. Our total liability arising out of or relating to the services is limited to the amount you paid us for the services in the three months before the event giving rise to the claim.

15. Termination

We reserve the right to suspend or terminate services without notice if you breach these Terms or violate usage limits, spam policies, or applicable law, including for abuse directed at our team, suspected illegal activity, or suspicious account activity. All service content, documentation, and systems are owned by Frostmailer and protected by copyright and other intellectual property laws.

16. Governing law

These Terms are governed by and construed in accordance with the laws of Ireland, and both parties submit to the exclusive jurisdiction of the Irish courts.

17. Referral and affiliate program

If you take part in our referral or affiliate program, the following also apply. Commission is earned only on paid, non-refunded recurring subscription charges from customers you refer, at the rates shown in your dashboard, for up to 12 months per referred customer. Self-referrals (referring your own account or orders) are not eligible and will be reversed. Commissions are held for a short review period and paid once your balance passes the minimum payout threshold. We may withhold or claw back commissions for refunds, chargebacks, fraud, or breach of these Terms, and we may change or end the program at any time.

18. Changes to these Terms

We may update these Terms from time to time and will notify you of material changes by email or through the service. The version in force is the one published here. Continued use of the services after changes take effect constitutes acceptance of the updated Terms.
